中國證券監督管理委員會2日宣布，與財政部、國家保密局、國家檔案局對「關於加強在境外發行證券與上市相關保密和檔案管理工作的規定」進行修訂，對外公開徵求意見。
修訂內容有5大重點，首先，保持與上位階法源的銜接；再者，將規定適用範圍擴大到境外間接上市企業。第3，增加程序性要求，明確企業保密責任，要求中企境外發行上市過程中向證券公司、會計師事務所等證3券服務機構以及境外監管機構提供、披露，或者透過其境外上市主體等提供、披露檔資料時，遵守保密相關法律法規。第4，明確會計檔案管理要求。 5，修改有關境外檢查規定。結合跨境審計監管合作的國際慣例，刪除「現場檢查應以我國監管機構為主進行，或者依賴我國監管機構的檢查結果」的規定。明確海外監管機構或主管部門可透過跨境監管合作機制獲得調查取證過程中必要的協助。
