<GOVERNING LAW and VENUE>

This Agreement and all questions concerning the validity, interpretation or performance of any of its terms or provisions, or of any rights or obligations of the Parties hereto, shall be governed by and resolved in accordance with the laws of R.O.C, excluding its conflict of laws provision. If any dispute arises in connection with the interpretation, implementation or enforcement of this Agreement, the
Parties agree that such dispute shall be finally and exclusively settled by arbitration in Hsinchu, before the R.O.C. Arbitration Association, in accordance with the R.O.C. Arbitration Act or other arbitration rules then in force. The arbitral panel shall be composed of by three members, and each Party may appoint one arbitrator and the two arbitrators so appointed shall select the third acting as the chairperson. Delay or failure by either Party to appoint its arbitrator within fourteen days will constitute an authorization to the R.O.C.

本合約和其條款效力、內容解釋或執行，或屬本合約各方的權利或義務的相關內容，即依據中華民國法律制定且受其管轄，本合約條文跟法律牴觸者除外。若有任何係因為本合約內容解釋、執行或執行相關糾紛，各方據此同意該糾紛僅只交由新竹的仲裁協會，依據中華民國的仲裁法規或其他屬當時生效的仲裁規定，進行最終的仲裁。仲裁小組應由3個成員組成，各方得各自指定1個仲裁人，而這兩個仲裁人得選定第3個仲裁人，作為仲裁小組的主席。本合約任何一方延遲或未能在 14日內指定仲裁人者，得由中華民國自行授權仲裁(仲裁人的安排事宜)。 

Arbitration Association to appoint an arbitrator for the defaulting Party. The arbitral award shall be final and binding, and may be enforceable by and against either Party by the judiciary in any jurisdiction as chosen.

仲裁協會得為違約方指定1個仲裁人，該仲裁判決即有最終的裁決約束效力，得據此由本合約的任何一方或任何司法機構依據其司法裁決，有其執行效力。
